IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A LIMITATION OF LIABILITY, A RELEASE OF CERTAIN CLAIMS, A BINDING ARBITRATION CLAUSE, A CLASS PROCEEDINGS WAIVER, AND A ONE-YEAR LIMITATION PERIOD FOR BRINGING CLAIMS. PLEASE READ CAREFULLY BEFORE USING OUR SERVICES.
These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Refrigeration Mentor Inc. (“Company,” “we,” “us,” or “our”), a corporation incorporated under the laws of Ontario, Canada. These Terms govern your access to and use of https://refrigerationmentor.com and all associated content, courses, coaching, tools, and services (collectively, the “Services”).
By accessing our website, enrolling in a course, submitting a contact form, downloading any resource, opting into communications, or otherwise engaging with our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Statement, incorporated herein by reference. If you do not agree, do not use our Services.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.
1. ELIGIBILITY
The Services are intended for individuals 18 years of age or older who are legally capable of entering into a binding contract. By using the Services, you represent and warrant that you meet these requirements. We do not knowingly collect information from individuals under 18.
2. SERVICES DESCRIPTION
Refrigeration Mentor Inc. provides online education, training courses, coaching, tools, and resources related to refrigeration, HVAC-R, and related skilled trades topics. Services may include:
- Online video courses and training programs
- Live or recorded webinars and coaching sessions
- Downloadable materials, guides, and reference resources
- Community forums and member areas
- Email newsletters and marketing communications
- SMS/text message updates, promotions, and notifications
- Sales follow-up and lead nurture communications
PROFESSIONAL DISCLAIMER: All content is provided for educational and informational purposes only. Nothing in our Services constitutes professional engineering, safety, licensing, or trade advice. Always consult qualified, licensed professionals before performing refrigeration or HVAC-R work. Completion of our courses does not guarantee any professional certification, licence, or employment outcome. The Services are not a substitute for hands-on training, applicable licensing requirements, or the advice of a qualified tradesperson.
The nature, scope, and availability of Services may change at any time at our sole discretion.
3. MODIFICATIONS TO THESE TERMS
We may modify these Terms at any time. We will use commercially reasonable efforts to provide notice of material changes — either directly to you or by posting an updated version on our website with a revised effective date. Changes take effect 5 days after posting unless we indicate otherwise. Your continued use of the Services after the effective date constitutes your acceptance of the modified Terms.
4. ACCOUNTS AND REGISTRATION
To access certain Services, you may be required to create an account. Your account and login credentials are personal and non-transferable. You are solely responsible for all activity that occurs under your account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials confidential
- Not share access with any third party or allow others to use your account
- Notify us immediately at legal@refrigerationmentor.com of any unauthorized use
We reserve the right to terminate or suspend accounts at our discretion, without prior notice or liability, for any breach of these Terms.
5. ELECTRONIC COMMUNICATIONS CONSENT — SMS, EMAIL, AND CALLING
This section governs how Refrigeration Mentor Inc. may contact you by text message, email, and telephone for marketing, sales, and informational purposes. Please read it carefully.
5.1 CASL Compliance — Consent to Commercial Electronic Messages
Canada’s Anti-Spam Legislation (CASL, S.C. 2010, c. 23) requires that we have your consent before sending Commercial Electronic Messages (CEMs). We comply with CASL in full.
Express Consent: You give express consent when you actively opt in — for example, by checking a clearly labelled opt-in box on a form, texting a keyword to our number, or taking another clear affirmative action. Express consent does not expire unless withdrawn.
Implied Consent: Under CASL, we may have implied consent to send you CEMs if: (a) you have purchased a product or service from us within the past 2 years; (b) you have made a written inquiry about our services within the past 6 months; or (c) you have conspicuously published your contact information without a statement of non-solicitation. Implied consent is time-limited.
Each CEM we send will clearly identify Refrigeration Mentor Inc., include accurate contact information, and provide a functioning unsubscribe mechanism.
5.2 SMS / Text Message Communications
By submitting your mobile phone number on any of our forms, landing pages, or opt-in mechanisms and affirmatively consenting to receive text messages, you expressly consent to receive recurring automated and manually composed marketing, promotional, transactional, and informational SMS/MMS messages sent by or on behalf of Refrigeration Mentor Inc..
Messages may include: course promotions, new content announcements, event invitations, sales follow-up, onboarding sequences, and reminders. Message frequency varies — you may receive multiple messages per week. Message and data rates may apply. Consent to receive SMS is not a condition of any purchase.
To opt out: Reply STOP at any time. One final confirmation message may follow. To resubscribe, reply START or re-opt in on our website. For help: reply HELP or contact legal@refrigerationmentor.com.
We comply with Canada’s CASL, CRTC Unsolicited Telecommunications Rules, the EU/UK GDPR and ePrivacy Directive, and all other applicable telecommunications laws. We maintain records of SMS consent for a minimum of 5 years.
5.3 Email Communications
By providing your email address and taking an affirmative opt-in action, you consent to receive marketing, promotional, and transactional emails from Refrigeration Mentor Inc. within the applicable CASL consent window. Each marketing email includes a clearly visible, functional unsubscribe link. Opt-out requests are processed within 10 business days as required by CASL.
We comply with CASL, EU/UK GDPR, Australia’s Spam Act 2003, and all other applicable anti-spam laws.
5.4 Telephone and Outbound Calling
If you provide a telephone number and consent to be contacted, you acknowledge that Refrigeration Mentor Inc. or its authorized representatives may contact you by telephone for marketing, sales, follow-up, and informational purposes. All calls comply with CRTC Unsolicited Telecommunications Rules: we do not call before 9:00 AM or after 9:30 PM in your local time zone, and we do not call on statutory holidays. We check and honour the National Do Not Call List (DNCL).
To revoke consent: contact us at legal@refrigerationmentor.com or in writing. Revocations are honoured within 14 days. We maintain an internal Do Not Contact list.
5.5 Lead Contact and Follow-Up
When you submit your contact information through any form, landing page, lead magnet, webinar registration, paid advertisement, or inquiry, you acknowledge that Refrigeration Mentor Inc. and/or its authorized representatives may contact you via SMS, email, and/or telephone using the information you provided. You may receive automated and manual follow-up messages. Consent to be contacted is not a condition of any purchase. You may opt out at any time.
6. PURCHASES, PAYMENTS, AND REFUNDS
6.1 Pricing. All prices are listed in Canadian dollars (CAD) unless otherwise stated at checkout. Applicable taxes (including HST/GST) will be added where required.
6.2 Payment. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge all applicable fees and taxes.
6.3 Refund Policy. Unless otherwise expressly stated at the point of sale, all sales are final. Where a satisfaction guarantee or refund window is offered, full details will be provided before purchase. Refund requests must be submitted to legal@refrigerationmentor.com within the stated window.
6.4 Chargebacks. Initiating a chargeback without first contacting us and allowing reasonable opportunity to resolve the matter is a violation of these Terms. We reserve the right to dispute any chargeback and recover amounts owed, including processing fees.
6.5 Taxes. You are responsible for any applicable taxes not collected by us at checkout. International customers are responsible for any customs duties or import taxes.
7. INTELLECTUAL PROPERTY
7.1 Ownership. All content, materials, software, trademarks, logos, and intellectual property on our platform are owned by Refrigeration Mentor Inc. or licensed to us under the Copyright Act (R.S.C. 1985, c. C-42) and other applicable law. This includes all course materials, videos, audio recordings, written content, graphics, tools, and branding.
7.2 Limited Licence. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use our content for your own personal, non-commercial educational purposes only.
7.3 Prohibited Use. You may not:
- Copy, reproduce, distribute, or publicly display our content without prior written consent
- Sell, resell, sublicence, or commercialize any content or access credentials
- Use our content to develop or deliver competing products, courses, or services
- Remove or alter any copyright, trademark, or proprietary notices
- Use automated tools, scrapers, bots, or scripts to access or extract content
- Record live sessions or share access credentials with third parties
7.4 Copyright — Notice-and-Notice Regime. If you believe content on our platform infringes your copyright, contact us at legal@refrigerationmentor.com. We comply with the Copyright Act (Canada) and the Notice-and-Notice regime under ss. 41.25-41.26.
8. FEEDBACK, TESTIMONIALS, AND USER CONTENT
8.1 Feedback Ownership. Any comments, feedback, suggestions, ideas, testimonials, reviews, success stories, photos, videos, or other communications you provide to us regarding our Services (“Feedback”) are entirely voluntary. By submitting Feedback, you grant Refrigeration Mentor Inc. a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, reproduce, adapt, publish, translate, distribute, and display that Feedback in any form, for any purpose, including marketing, advertising, and promotional materials, without any notice, payment, attribution, or other obligation to you. All use of Feedback is at our sole discretion.
8.2 Testimonials. Any testimonials or success stories we use in our marketing represent the genuine experiences of specific individuals and have been used with permission. Individual results vary. We comply with the Competition Act (R.S.C. 1985, c. C-34) requirements regarding truthful and non-misleading representations, and with applicable advertising standards guidelines published by Advertising Standards Canada (ASC).
8.3 User Content. Any content you post in community forums, comment sections, or other interactive areas of our Services is your responsibility. You grant us a licence to host, display, and use that content in connection with operating our Services. We reserve the right to remove any user content at our sole discretion.
9. DISCLAIMER OF RESULTS
REFRIGERATION MENTOR INC. DOES NOT PROMISE, GUARANTEE, OR WARRANT ANY SPECIFIC LEVEL OF SUCCESS, INCOME, PROFESSIONAL ADVANCEMENT, LICENSING OUTCOMES, OR RESULTS FROM USE OF THE SERVICES. INDIVIDUAL RESULTS WILL VARY BASED ON EFFORT, EXPERIENCE, BACKGROUND, MARKET CONDITIONS, AND MANY OTHER FACTORS OUTSIDE OUR CONTROL. ANY PRIOR RESULTS OR INCOME FIGURES REFERENCED IN OUR MARKETING ARE EXAMPLES ONLY AND ARE NOT A GUARANTEE OR PREDICTION OF YOUR RESULTS. YOU ACKNOWLEDGE THAT YOUR SUCCESS IS YOUR OWN RESPONSIBILITY. MAKING DECISIONS BASED ON CONTENT IN OUR SERVICES SHOULD BE DONE WITH THE UNDERSTANDING THAT RESULTS ARE NOT GUARANTEED.
10. NO PROFESSIONAL ADVICE
THE SERVICES AND ALL CONTENT ARE PROVIDED FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. NOTHING IN OUR SERVICES CONSTITUTES PROFESSIONAL ENGINEERING, SAFETY CERTIFICATION, REGULATORY, LEGAL, FINANCIAL, OR TRADE ADVICE AND IS NOT INTENDED TO BE A SUBSTITUTE FOR ADVICE FROM A QUALIFIED, LICENSED PROFESSIONAL. ALWAYS SEEK THE ADVICE OF A LICENSED PROFESSIONAL REGARDING ANY QUESTIONS ABOUT REFRIGERATION, HVAC-R SYSTEMS, SAFETY, OR YOUR SPECIFIC SITUATION. NEVER DISREGARD OR DELAY SEEKING PROFESSIONAL ADVICE BECAUSE OF CONTENT YOU HAVE OBTAINED THROUGH OUR SERVICES. YOUR RELIANCE ON ANY CONTENT IN OUR SERVICES IS SOLELY AT YOUR OWN RISK.
11. AFFILIATE AND REFERRAL DISCLOSURES
Our website and content may contain affiliate links or referral partnerships. Where we earn a commission or referral fee from recommending a product or service, we will disclose this relationship in compliance with the Competition Act (Canada) and applicable advertising standards guidelines. The inclusion of affiliate links does not affect the price you pay.
12. USER CONDUCT
You agree not to use the Services for any unlawful purpose or in violation of any applicable law, harass or harm other users or our staff, transmit spam or malware, impersonate any person or entity, attempt to gain unauthorized access to our systems, interfere with or disrupt our Services, or engage in conduct that would expose us to legal liability. We reserve the right to suspend or terminate access without notice for violations.
13. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY RIGHTS YOU MAY HAVE UNDER THE CONSUMER PROTECTION ACT, 2002 (ONTARIO) OR OTHER APPLICABLE CANADIAN CONSUMER PROTECTION LEGISLATION THAT CANNOT BE LAWFULLY EXCLUDED.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE ONTARIO CONSUMER PROTECTION ACT, 2002, REFRIGERATION MENTOR INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00). YOU AGREE THAT WE WOULD NOT OFFER OUR SERVICES WITHOUT THESE LIMITATIONS ON OUR LIABILITY.
Some jurisdictions, including certain U.S. states, do not allow the exclusion of certain warranties or limitation of certain damages. To the extent such laws apply to you, some of the above exclusions or limitations may not apply, and you may have additional rights.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Refrigeration Mentor Inc. and its officers, directors, employees, agents, contractors, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (1) your use of the Services; (2) your breach of these Terms; (3) your violation of any third-party rights; (4) any content you submit through the Services; or (5) your negligent or wrongful conduct.
16. TESTIMONIALS, ENDORSEMENTS, AND RESULTS
Any testimonials, case studies, income examples, or results appearing in our marketing represent experiences of specific individuals and are not typical. Results vary. We make no guarantee of specific outcomes. All material connections between Refrigeration Mentor Inc. and any endorsers are disclosed where applicable, in compliance with the Competition Act (Canada) and ASC guidelines.
17. THIRD-PARTY LINKS AND SERVICES
Our Services may contain links to third-party websites or services. We do not endorse and are not responsible for third-party content, privacy practices, or availability. Your use of third-party services is at your own risk and governed by their terms.
18. ACCESSIBILITY
Refrigeration Mentor Inc. is committed to providing accessible Services in accordance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA). If you experience accessibility barriers, please contact us at legal@refrigerationmentor.com.
19. PRIVACY
Your use of the Services is governed by our Privacy Statement, available at https://refrigerationmentor.com/privacy-policy/, incorporated into these Terms by reference.
20. INTERNATIONAL USERS — NOTICE TO U.S. CUSTOMERS
While Refrigeration Mentor Inc. is incorporated and operated in Ontario, Canada, a significant portion of our customers are located in the United States. By using our Services, U.S.-based users acknowledge that:
- These Terms are governed by the laws of Ontario and Canada, not U.S. federal or state law
- Disputes will be resolved through Canadian arbitration or Ontario courts, not U.S. courts
- You waive any right to bring claims in your home state or federal court
- Canadian consumer protection law applies, which may differ from your home state’s laws
- You consent to the jurisdiction of Ontario courts for any non-arbitrable matters
If you are a U.S. consumer and applicable U.S. federal law provides you with rights that cannot be waived by contract, those rights are not affected by these Terms to the extent they are non-waivable.
21. GOVERNING LAW AND DISPUTE RESOLUTION
21.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law rules. The parties expressly exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
21.2 Informal Resolution. Before initiating formal proceedings, you agree to contact us at legal@refrigerationmentor.com to attempt informal resolution. We will endeavour to respond within 30 days.
21.3 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the ADR Institute of Canada Inc. under its applicable Arbitration Rules, conducted in English in Brantford, Ontario (or virtually by agreement). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
21.4 Class Proceedings Waiver. To the maximum extent permitted by applicable law, you and Refrigeration Mentor Inc. agree to resolve all disputes on an individual basis only. You waive any right to commence or participate in any class proceeding, representative action, or consolidated arbitration arising from these Terms or the Services.
21.5 Courts. For matters not subject to arbitration or where urgent relief is required, you submit to the exclusive jurisdiction of the courts of Ontario, Canada.
22. LIMITATION PERIOD FOR CLAIMS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING ONTARIO’S LIMITATIONS ACT, 2002, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION AROSE. CLAIMS NOT BROUGHT WITHIN THIS PERIOD ARE PERMANENTLY BARRED. YOU ACKNOWLEDGE THAT THIS SHORTENED LIMITATION PERIOD IS A MATERIAL TERM OF THIS AGREEMENT AND IS REFLECTED IN THE PRICING OF OUR SERVICES.
Note for U.S. customers: Some U.S. states do not permit contractual shortening of limitation periods for consumer claims. To the extent applicable U.S. state law prohibits this provision, the default limitation period under your applicable state law will apply instead.
23. FORCE MAJEURE
Refrigeration Mentor Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, cyberattacks, war, terrorism, governmental orders, labour disputes, power failures, or internet outages.
24. TERMINATION
We may terminate or suspend your access to the Services at any time, with or without notice, for any reason, without liability to you. Upon termination, your licence to use the Services ends immediately. Sections 7, 8, 9, 10, 14, 15, 21, 22, and 25 survive termination.
25. MISCELLANEOUS
25.1 Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary and all other provisions remain in full force.
25.2 Waiver. Our failure to enforce any right or provision shall not constitute a waiver.
25.3 Entire Agreement. These Terms and our Privacy Statement constitute the entire agreement between you and Refrigeration Mentor Inc. regarding the Services and supersede all prior agreements.
25.4 Language. The parties have required that these Terms be written in English. Les parties ont exigé que ces conditions soient rédigées en anglais.
25.5 Assignment. You may not assign your rights under these Terms. We may assign freely.
25.6 Modifications Notice. We provide 5 days notice before material changes take effect. Continued use after that date constitutes acceptance.
